Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ZenGrants platform and related services (collectively, the "Service"), operated by SCS Ventures, LLC, operating as ZenGrants ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Our Mission and How We Make Money

ZenGrants is an AI-powered platform built to help UK innovators write stronger grant applications and win more funding. We make money through paid subscriptions to our platform.

We do not sell your data. We do not licence your content to third parties. We do not use your data to train AI models. Our interests are aligned with yours: we succeed when you succeed at winning grants.

4. Eligibility

You must be at least 16 years old to use the Service, in accordance with UK data protection law. By using the Service, you confirm that you meet this requirement.

If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

5. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your password and not share it with others
• Notify us promptly at hello@zengrants.co if you suspect any unauthorised access

6. Paid Subscriptions

Access to the full ZenGrants platform requires a paid subscription.

• Billing begins on the date you activate your subscription and recurs on each renewal date
• All fees are stated in pounds sterling (GBP) and are inclusive of VAT where applicable
• You authorise us to charge your payment method for all applicable fees
• If payment fails, we may suspend access to paid features until payment is resolved

We reserve the right to modify our pricing. We will provide at least 30 days' written notice before any price change takes effect for existing subscribers.

6.1 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until then. We do not offer pro-rated refunds for unused portions of a billing period unless required by law.

6.2 UK Cooling-Off Waiver

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you normally have the right to cancel a digital service within 14 days of purchase. By activating your subscription and accessing the Service immediately, you acknowledge that you lose this 14-day right to cancel and waive it in favour of immediate access.

7. Your Data, Your Intellectual Property

You own your content. Full stop.

7.1 Your Content

All documents, grant applications, project descriptions, research notes, and other materials you upload or create using the Service ("Your Content") remain your property. This includes commercially sensitive information, innovations, and any proprietary research you share with us.

7.2 AI-Generated Outputs

All AI-generated content created from your inputs — including grant draft narratives, research summaries, project plans, and question answers — belongs to you. You may use, modify, publish, and submit this content freely, without restriction.

7.3 Limited Licence to ZenGrants

By using the Service, you grant ZenGrants a limited, non-exclusive, royalty-free licence to use Your Content solely for the purpose of operating and providing the Service to you. This licence:

• Does not permit us to share Your Content with other users or organisations
• Does not permit us to sell, licence, or otherwise exploit Your Content
• Does not permit us to use Your Content for AI training, fine-tuning, or model development of any kind
• Terminates automatically when you delete Your Content or close your account

7.4 No AI Training — Ever

We will never use Your Content to train, fine-tune, or otherwise improve AI or machine learning models — whether our own or any third party's. This applies to all content: uploaded documents, your project information, AI inputs, and AI outputs.

Our AI provider (Google Gemini) operates under enterprise API terms that contractually prohibit model training on customer data.

8. Confidentiality of Your Content

We understand that your grant applications and project information may contain highly sensitive commercial and technical details — including innovations. We treat all Your Content as strictly confidential.

We will not:

• Read, access, or review Your Content except as necessary to operate the Service or resolve a support request with your permission
• Reproduce or quote Your Content in any marketing, case studies, or public communications without your explicit written consent
• Share Your Content with any third party except our listed sub-processors operating on your behalf

Our employees and contractors with access to the infrastructure are bound by confidentiality obligations.

9. How We Use AI

Our AI features are powered by the Google Gemini API. When you use these features, relevant portions of Your Content are transmitted to Google to generate a response. Google's enterprise terms prohibit use of this data for model training.

AI-generated content is assistive, not authoritative. ZenGrants assists with the grant writing process but does not guarantee that AI-generated content will be accurate, complete, or result in a successful grant award. You are responsible for reviewing and verifying all AI-generated content before submission.

10. Data Protection Agreement

To the extent that ZenGrants processes personal data contained in Your Content on your behalf (acting as a data processor), the following terms apply:

• Processing only on your instructions: We will process personal data in Your Content only to deliver the Service to you, and not for any other purpose.
• Confidentiality: We ensure that personnel with access to Your Content are bound by appropriate confidentiality obligations.
• Security: We implement appropriate technical and organisational measures to protect personal data, as described in our Privacy Policy.
• Sub-processors: We use Google (Firebase, Gemini API), Vercel, and Zoho (ZeptoMail) as sub-processors. We will notify you of any changes to our sub-processor list.
• Data subject rights: We will assist you in responding to data subject rights requests relating to personal data in Your Content.
• Deletion: Upon account closure, we will delete personal data in Your Content in accordance with our data retention policy.
• Audit: We will provide reasonable information to demonstrate compliance with this section upon written request.

11. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws or regulations
• Attempt to gain unauthorised access to the Service, other users' accounts, or our systems
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
• Upload or transmit viruses, malware, or other harmful code
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to build a competing product or service
• Submit false or fabricated information in grant applications generated through the platform
• Attempt to reverse engineer or extract our AI prompts, systems, or source code

12. Our Intellectual Property

The ZenGrants platform — including all software, designs, text, graphics, and other content created by us (excluding Your Content) — is owned by SCS Ventures, LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or reverse engineer any part of the Service without our prior written consent.

13. Disclaimers

The Service is provided "as is" and "as available". Except as required by law, we make no warranties of any kind, express or implied, including:

• That the Service will be uninterrupted, error-free, or continuously available
• That AI-generated content will be accurate, complete, or fit for any particular purpose
• That use of the Service will result in a successful grant award
• That the Service will meet all your specific requirements

Grant writing involves inherent uncertainty. ZenGrants assists with the process but cannot guarantee funding outcomes.

14. Limitation of Liability

To the maximum extent permitted by applicable law, ZenGrants shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or relating to these Terms or your use of the Service.

Our total aggregate liability to you for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid to ZenGrants in the twelve months preceding the claim, or (b) £100.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable UK law.

Some provisions in these Terms may not apply to you if you are a consumer under the Consumer Rights Act 2015.

15. Termination

You may close your account at any time through your account settings or by contacting hello@zengrants.co.

We may suspend or terminate your access to the Service if:

• You breach these Terms or any applicable policies
• Your conduct causes harm or legal risk to ZenGrants, our users, or third parties
• Your account remains inactive for 12 or more consecutive months

We will provide reasonable notice before termination unless doing so would create legal risk. Upon termination, you may request an export of Your Content within 30 days. After this period, your data will be deleted in accordance with our Privacy Policy.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you via email or a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

17. Third-Party Services

The Service may contain links to or integrations with third-party websites and services. We are not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is governed by their respective terms and policies.

18. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this clause affects your statutory rights as a consumer under UK law.

19. Miscellaneous

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZenGrants regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in full force.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of substantially all our assets, with notice to you.
